Key objectives

“This Agreement, which is an integral part of the Group's personnel management and sustainability policies, establishes the Parties' common commitment to maintaining constructive industrial relations. In order to consolidate an advanced model of industrial relations at global level, the Parties promote social dialogue between Company management and the Trade unions in all the Companies, business lines, services and geographic areas and at all Group levels and to implement participatory decision-making as a useful method for ensuring compliance with this Agreement and reconciling company objectives and social needs.”

Duration

“This agreement shall be considered valid for four years from the date of signing and shall be tacitly extended for the same period of time, unless notice of termination is given to the respective parties in the 6 months prior to expiry of the term of validity. 

During the negotiation of a new agreement and until it is signed, the extension regime shall remain equally applicable. 

Two years after signing, the Parties undertake to hold a verification meeting to evaluate the application, practical effects and possible improvements to be made to the Agreement, at the time of renewal. 

The Parties may agree to changes or additions to its content before its expiry. “

Applicable law

This Agreement is governed, between the parties, by Italian law. This Agreement does not confer any rights of a contractual nature to parties other than the signatory parties. 

 

Implementation and dissemination

“A Global council and a Global Coordinating Committee are hereby established for the purpose of implementing this Agreement”.

 “The Committee, in agreement with the Council, may propose agreements with institutions, associations, business networks or universities to the Company management, to carry out jointly activities of common interest so as to achieve the aims and purposes of this Agreement. For subjects of particular complexity, the contribution of experts (to be agreed using the same modalities) shall also be permitted. 

The Committee, in implementing the Council's instructions, collaborates with Company management to ensure that the results of global industrial relations activities are made known and disseminated, using all the tools provided by the Group. 

The Parties undertake to cooperate to promote the dissemination of this Agreement including through joint, targeted actions and to raise awareness of the value of social dialogue and commitments in terms of fundamental principles and rights and social and environmental responsibility

The Parties may organize, in the countries where Enel operates, joint information and awareness-raising initiatives and bilateral training on the content, application and monitoring of the Agreement for workers' representatives and management at all Group levels. 

The Parties shall ensure that this Agreement is accessible via the websites of their respective organizations in the official language and in the languages of the main countries where the Enel Group operates. 

This agreement will be made available to all workers, together with other relevant corporate documents. 

The Parties will organize joint training/information initiatives on the content of the Agreement aimed at workers' representatives and company representatives at the various levels of the Group, with the aim of communicating the spirit, purpose and content of the Agreement, so that the text is interpreted and implemented consistently in all Enel Companies worldwide."

Review and monitoring

" A Global Council (hereafter "The Council") and a Global Coordinating Committee are hereby globale established for the purpose of implementing this Agreement. “

“The Parties shall define procedures and methods for monitoring the application of the Agreement, including by identifying specific KPIs, and agree, where appropriate, on the implementation of positive action programs aimed at affirming fundamental human and social rights and good labor practices. Such programs may consist of information sharing, training and research activities.”

Dispute settlement and sanctions

The Parties confirm their mutual commitment, should they become aware of violations or situations that differ from those established in the Agreement, to promptly inform the other Party in order to identify effective solutions and/or shared paths within a reasonable timeframe. 

The Parties undertake to avail of the following procedure to resolve any disputes regarding the interpretation or application of the Agreement: 

  • Firstly, they agree to the principle that a problem which has arisen at local level should preferably be resolved in the same context. As a result, initially the matter will be raised with local management. Wherever dispute regarding this Agreement is not resolved at the local level, it shall be referred to Company management and unions at the national level. 
  • In the event of failure to settle the dispute, it shall be submitted to the Parties of this Framework Agreement to make every effort to reach a solution and decide possible corrective actions. In the event of an interpretative dispute, the Parties may agree to seek the opinion of the ILO or another mutually chosen third party. 

It is understood that the employment conditions applied in Enel are defined by national laws and contracts, in line with the provisions of this Understanding. "
